Terms of Use for GNodeTo

These Terms of Use ("Terms") govern your access to and use of GNodeTo ("the app"), operated by QI.AI Inc. ("we," "us," or "our"). By downloading, installing, or using the app, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the app.

1. Acceptance of Terms

By accessing or using the app, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which governs how we collect and use your personal information. These Terms apply to all users of the app.

2. Use of the App

​

You may use the app solely for personal, non-commercial purposes. You agree to comply with all applicable laws, rules, and regulations when using the app.

  • Account Registration: You may need to create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account.

  • Age Requirement: You must be at least 13 years old to use the app. If you are under the age of majority in your jurisdiction, you must have parental consent to use the app.

  • Prohibited Conduct: You agree not to engage in any activities that could harm the app, other users, or third parties, including but not limited to:

    • Engaging in unlawful activities;

    • Interfering with the app’s normal operation;

    • Attempting to gain unauthorized access to the app or any accounts, systems, or networks;

    • Uploading harmful or malicious software or viruses.

 

3. Intellectual Property

All intellectual property rights in and to the app, including but not limited to its design, features, functionality, content, and underlying technology, are the exclusive property of QI.AI Inc. or its licensors.

  • Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the app for personal, non-commercial purposes. You may not reproduce, distribute, or create derivative works based on any part of the app without our express written permission.

  • User-Generated Content: If you submit any content (e.g., route data, node information) through the app, you retain ownership of such content. However, by submitting content, you grant us a worldwide, royalty-free, perpetual, and non-exclusive license to use, modify, distribute, and display your content as part of the app's operation and for marketing purposes.

 

4. Disclaimer of Warranties

The app is provided on an "as is" and "as available" basis. We do not guarantee that the app will be error-free, uninterrupted, or meet your specific requirements.

  • No Warranties: We disclaim all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no guarantees about the accuracy, completeness, or reliability of any content or features of the app.

 

5. Limitation of Liability

To the fullest extent permitted by law, QI.AI Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from or in connection with your use of the app.

  • Cap on Liability: In no event shall our total liability to you for all claims arising from or related to your use of the app exceed the amount you paid, if any, to access or use the app.

 

6. Termination

We reserve the right to terminate or suspend your access to the app, with or without notice, at our sole discretion, for any reason, including but not limited to a breach of these Terms.

Upon termination, all licenses granted to you under these Terms will immediately cease, and you must stop using the app.

 

7. Modifications to the App and Terms

We may modify or discontinue the app, or update these Terms, at any time without notice to you. Your continued use of the app after any modifications constitutes your acceptance of the updated Terms.

  • Implied Consent for Changes: Changes to the Terms will be effective immediately upon posting. You are encouraged to review these Terms regularly to ensure your understanding of the current terms and conditions.

 

8. Third-Party Services and Links

The app may contain links to third-party websites or services that are not owned or controlled by QI.AI Inc. We are not responsible for the content or practices of any third-party websites or services.

 

9. Governing Law

​

These Terms shall be governed and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, to resolve any legal matters arising from these Terms or your use of the app.

 

10. Indemnification

You agree to indemnify, defend, and hold harmless QI.AI Inc., its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the app or any violation of these Terms.

 

11. Severability

​

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
